MOTOWARE LEGAL
Terms of Service
Last updated: 12 October 2026
1. About these terms
These Terms of Service apply when you create an account, access or use Motoware (the Service). The Service is provided by Stackware Ltd (we, us and our), company number 15709207, registered in England and Wales, with its registered office at 20a Balaclava Road, Derby, England, DE23 8UJ. By using the Service, you agree to these terms. If you use the Service for a business, you confirm that you have authority to accept these terms for that business.
2. The Service
Motoware helps vehicle traders manage vehicle records, sales, costs, documents and related business information. The Service is provided on an as-available basis and may change as we improve it. We may add, change or remove features where reasonably necessary.
3. Vehicle data, estimates and AI
Deal Analyser results, valuations, MOT and DVLA information, and AI-generated purchase briefs are estimates or information derived from third-party data, information you enter and automated systems. They are not professional advice or guarantees of a vehicle’s identity, condition, history, value or suitability. You must check the source records and inspect the vehicle before making a purchase or sale decision.
4. Your account and security
You must provide accurate and current account information. Keep your password and sign-in details confidential, and tell us promptly if you believe your account has been accessed without permission. You are responsible for activity carried out through your account and for managing access given to members of your workspace.
5. Acceptable use
You must use the Service lawfully and must not misuse it. In particular, you must not attempt to gain unauthorised access, disrupt the Service, introduce malicious code, reverse engineer the Service where the law does not allow it, or use the Service to store or share unlawful, misleading or infringing content.
6. Your data and records
You retain ownership of the business data and documents you add to the Service. You give us permission to host, process and display that data only as needed to operate, secure, support and improve the Service. You are responsible for ensuring that your records are accurate and that you have the right to enter personal data and documents into Motoware.
7. Plans, trial, fees and payment
Every new workspace receives a 30-day trial of the full Pro plan without a payment card. If you do not start a paid subscription, the workspace changes to the Free plan when the trial ends. Your existing records remain in the workspace, but only five active vehicles can be selected and managed on Free; other active vehicles remain read-only unless you upgrade or change your selection. Pro prices exclude applicable tax, which Stripe calculates from your billing details during checkout. Paid plans and billing intervals are shown before checkout. You must provide valid payment details and authorise charges for your selected plan. Fees are payable in advance unless stated otherwise. You can cancel a paid plan through your account; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
8. Availability and support
We aim to keep the Service reliable and secure, but we do not guarantee uninterrupted or error-free availability. Maintenance, updates, third-party services and circumstances outside our reasonable control may affect access. We will use reasonable efforts to restore the Service when an issue arises.
9. Intellectual property
We and our licensors own the Service, including its software, design, branding and content. While you comply with these terms, we give you a limited, personal, non-transferable right to use the Service for your internal business purposes. No other rights are granted.
10. Suspension and termination
You may stop using the Service at any time. We may suspend or end access if you materially breach these terms, create a security risk, fail to pay applicable fees, or if we must do so to comply with law. Where practical, we will give notice before suspension or termination.
11. Liability
Nothing in these terms excludes liability that cannot lawfully be excluded. To the maximum extent allowed by law, the Service is provided without warranties not expressly stated in these terms, and we are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of data caused by your failure to keep an appropriate backup. Our total liability relating to the Service is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim.
12. Changes to these terms
We may update these terms when the Service, law or our business changes. If a change is material, we will take reasonable steps to notify you. Continuing to use the Service after the updated terms take effect means you accept them.
13. Governing law
These terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where applicable law gives you the right to bring a claim elsewhere.
